niostem Terms of Service

Applies to: niostem websites, online shops, devices, and mobile applications

1) Scope and Applicability

These Terms of Service ("Terms") govern all relationships between Mane Biotech GmbH, operating under the brand niostem, and users of our websites, online stores, mobile applications, and devices (collectively, the "Services").
By using our Services, you agree to be bound by these Terms.
These Terms apply to both consumers and business customers, unless otherwise specified.
In the event of conflict, mandatory consumer protection laws shall prevail.

2) Contract Formation

(1) The presentation of products in our online store does not constitute a legally binding offer but an invitation to order. By placing an order, you submit a binding offer to purchase the goods or enter into a Lease-to-Own subscription. The contract is concluded once we confirm your order by email.
(2) For app use, the contract is formed when you download the app and accept these Terms upon registration.
(3) Contracts are concluded in English. German law applies as outlined in Section 14.

3) Product Information and Pricing

(1) Product descriptions, specifications, and prices are subject to change without notice but will not affect existing orders.
(2) All prices include VAT (where applicable) and are displayed in euros (€).
(3) Shipping costs are shown separately before order completion.

4) Payment, Delivery, and Transfer of Risk

(1) Payment Processing & SEPA: Payments for subscriptions are processed via Firmhouse and supported gateways (Stripe, Mollie) offering Credit Card, PayPal, Klarna, Alma, Pay By Bank, iDEAL, eps, and SEPA Direct Debit. If SEPA Direct Debit is used, you agree to a shortened pre-notification period of 2 days before the account is debited.
(2) Delivery is handled by our logistics partners (DHL, UPS, FedEx, Hermes). Delivery times are indicated during checkout. Standard delivery time is 2-5 business days within Germany and 5-10 business days within the EU. Shipping is free of charge for subscriptions but carries fees for accessories i.e. any other purchase that is not a device or a subscription.
(3) Risk of loss passes to you upon delivery to your address. For business customers, the risk passes upon handover to the carrier.

5) Lease-to-Own Subscription (Mietkauf)

(1) Structure: Users aged 18 and older may opt for a Lease-to-Own (Mietkauf) subscription for the niostem device. The total purchase price is €1,246.00. The Customer agrees to pay 14 consecutive monthly installments of €89.00.
(2) Retention of Title & Automatic Transfer: The device remains the sole property of Mane Biotech GmbH until the 14th installment is fully paid. Upon successful receipt of the final (€89.00) payment, ownership of the device automatically transfers to the Customer.
(3) App Usage: The niostem app Premium features are provided free of charge during the 14-month lease period and will remain free for the Customer upon the successful transfer of ownership.
(4) Early Buyout Option: The Customer may opt to acquire full ownership of the device at any time prior to the 14th month. The early buyout price is calculated as the total purchase price (€1,246.00) minus the sum of all monthly installments already paid. Upon payment of this remaining balance, ownership transfers immediately, and the monthly subscription is terminated.
(5) Maintenance & Swap Service: During the lease phase, Mane Biotech GmbH ensures the usability of the device. If the device exhibits a manufacturing defect (not caused by the user), Mane Biotech GmbH will promptly repair or replace it with a new or refurbished unit of equal or better condition to ensure continuous service.

(6) Ordinary Cancellation: The Lease-to-Own subscription has a mandatory minimum term of 6 months. During this initial period, ordinary cancellation is excluded. After the minimum term expires, the Customer may cancel the subscription at any time. A cancellation is only finalized once the device has been returned to Mane Biotech GmbH at the Customer's own expense and risk.

6) Payment Default and Remote Suspension

(1) Remote Block: If the Customer defaults on a monthly payment, Mane Biotech GmbH reserves the right, after issuing a prior warning and a reasonable grace period, to remotely suspend the functionality of the niostem device until the outstanding balance is settled.
(2) Contract Termination: If the Customer remains in default for more than two consecutive months, Mane Biotech GmbH may terminate the Lease-to-Own agreement for cause.
(3) Return & Liability: Upon termination for cause, the Customer must immediately return the device at their own expense and risk. The Customer bears full liability for tracking the shipment and any damage sustained during transit.
(4) Liquidated Damages & Debt Collection: If the Customer fails to return the device within 14 days of termination, or returns it physically damaged beyond normal wear and tear, Mane Biotech GmbH reserves the right to charge the Customer for the residual value of the device (€1,246.00 minus installments already paid) or the repair costs. This monetary claim may be transferred to a certified debt collection agency (Inkasso), the costs of which shall be borne by the Customer in default.

7) Right of Withdrawal

Consumer's right of withdrawal, cancellation policy
As a consumer, you generally have a legal right of withdrawal when purchasing from our online shop, which we will inform you about below:

Right of withdrawal
You have the right to cancel this contract within fourteen days without giving any reasons. The cancellation period is fourteen days from the day on which you or a third party named by you who is not the carrier took possession of the goods. In order to exercise your right of withdrawal, you must inform us (Mane Biotech GmbH, Stüttgerhofweg 1, 50858 Cologne, e-mail: support@niostem.com) by means of a clear statement (e.g. a letter sent by post, fax or email) about your decision to revoke this contract. You can use the attached sample cancellation form, although this is not mandatory. In order to meet the cancellation period, it is sufficient that you send the notification of your exercise of the right of cancellation before the cancellation period expires.

Consequences of revocation
If you cancel this contract, we will refund to you all payments received from you, including delivery costs (except for any additional costs arising from you choosing a method of delivery other than the low-cost standard delivery offered by us) at the latest within fourteen working days from the day on which we received notification of your cancellation of this contract. For this repayment we use the same payment method that you used for the original transaction (whenever possible), unless something different was expressly agreed with you; under no circumstances will you be charged any fees as a result of this repayment.

We may refuse repayment until we have received the goods back or until you have provided evidence that you have sent the goods back, whichever is the earlier. You must return or hand over the goods to us immediately and in any case no later than fourteen days from the day on which you inform us of your cancellation of this contract. The deadline is met if you send the goods before the fourteen-day period has expired. You bear the direct costs of returning the goods.

You are liable for any loss in value of the goods if this loss in value is due to handling other than what is necessary to establish the nature, characteristics, and functionality of the goods (testing as would be customary in a physical retail store). For hygienic and technical reasons, this includes, but is not limited to, the removal of original stickers, protective films, or damage to the original packaging. In the event of usage beyond a simple functionality test, or missing/damaged components, we reserve the right to deduct a reasonable compensation for loss of value (e.g., for refurbishment, processing, and cleaning) from the refund amount.

8) Warranty and Defects

(1) Statutory warranty rights apply. For consumers, the warranty period is 24 months from delivery.
(2) For business customers, the limitation period is 12 months and excludes damage claims for intentional or grossly negligent conduct.
(3) If the delivered product is defective, please contact us at support@niostem.com.

9) Use of Device, Software, and App

(1) The niostem device and app are provided for personal, non-commercial use. Users must not modify, reverse-engineer, or otherwise interfere with the firmware or software.
(2) niostem may update or modify the software automatically to ensure safety, compliance, or performance improvements.
(3) Some app features process health-related data. Such processing occurs only with your explicit consent as described in our Privacy Policy.

10) Account Registration and User Obligations

(1) To use app features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials.
(2) You agree to provide accurate and current information and not to use the Services for unlawful purposes.
(3) Users must be at least 18 years old.

11) Intellectual Property

All intellectual property rights in our products, software, designs, and content remain the property of Mane Biotech GmbH or its licensors. You receive only a limited, non-transferable, revocable license to use the app and device for their intended purpose.

12) Medical Disclaimer and Limitation of Liability

(1) niostem products and services are not intended to diagnose, treat, cure, or prevent disease and should not replace professional medical advice.
(2) Our liability is limited to intent and gross negligence. For breach of essential contractual obligations, we are liable for foreseeable damages typical of the contract. Liability for injury to life, body, or health remains unaffected.
(3) Mandatory provisions under the German Product Liability Act remain unaffected.

13) Data Protection and Privacy

Personal data is processed according to our Privacy Policy compliant with the EU General Data Protection Regulation (GDPR). By using our Services, you acknowledge that you have read and understood the Privacy Policy.

14) Governing Law and Jurisdiction

These Terms and all contractual relationships are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer residing in the EU, you also enjoy the protection of mandatory laws in your country of residence. Jurisdiction for all disputes shall be Cologne, Germany, if permitted by law.
