Applies to: niostem websites, online shops, devices, and mobile applications
1) Scope and Applicability
These Terms of Service ("Terms") govern all relationships between Mane Biotech GmbH, operating under the brand niostem, and users of our websites, online stores, mobile applications, and devices (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.
These Terms apply to both consumers and business customers, unless otherwise specified. In the event of conflict, mandatory consumer protection laws shall prevail.
2) Contract Formation
(1) The presentation of products in our online store does not constitute a legally binding offer but an invitation to order. By placing an order, you submit a binding offer to purchase the goods. The contract is concluded once we confirm your order by email.
(2) For app use, the contract is formed when you download the app and accept these Terms upon registration.
(3) Contracts are concluded in English. German law applies as outlined in Section 12.
3) Product Information and Pricing
(1) Product descriptions, specifications, and prices are subject to change without notice but will not affect existing orders.
(2) All prices include VAT (where applicable) and are displayed in euros (€).
(3) Shipping costs are shown separately before order completion.
4) Payment, Delivery, and Transfer of Risk
(1) Payments may be made via Stripe, PayPal, Klarna, Mollie, Apple Pay, or Google Pay.
(2) Delivery is handled by our logistics partners (DHL, UPS, FedEx, Hermes). Delivery times are indicated during checkout.
(3) Risk of loss passes to you upon delivery to your address. For business customers, the risk passes upon handover to the carrier.
5) Right of Withdrawal
You have the right to withdraw from this contract within 14 days without giving any reason.
The withdrawal period is 14 days from the day on which you or a third party designated by you (other than the carrier) takes possession of the goods.

by means of a clear statement (e.g., email or postal letter) about your decision to withdraw from this contract. You may use the model withdrawal form below, but it is not obligatory.

Consequences of Withdrawal
If you withdraw from this contract, we will reimburse all payments received from you, including delivery costs (except additional costs for non-standard delivery), within 14 days after we receive your withdrawal notice. Reimbursement will be made via the same payment method you used for the transaction.
You must return the goods to us promptly and in any event within 14 days after notifying us of withdrawal. You will bear the direct cost of returning the goods.
6) Warranty and Defects
(1) Statutory warranty rights apply. For consumers, the warranty period is 24 months from delivery.
(2) For business customers, the limitation period is 12 months and excludes damage claims for intentional or grossly negligent conduct.
(3) If the delivered product is defective, please contact us at support@niostem.com.
7) Use of Device, Software, and App
(1) The niostem device and app are provided for personal, non-commercial use. Users must not modify, reverse-engineer, or otherwise interfere with the firmware or software.
(2) niostem may update or modify the software automatically to ensure safety, compliance, or performance improvements.
(3) Some app features process health-related data. Such processing occurs only with your explicit consent as described in our Privacy Policy.
8) Account Registration and User Obligations
(1) To use app features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials.
(2) You agree to provide accurate and current information and not to use the Services for unlawful purposes.
(3) Users must be at least 18 years old.
9) Intellectual Property
All intellectual property rights in our products, software, designs, and content remain the property of Mane Biotech GmbH or its licensors. You receive only a limited, non-transferable, revocable license to use the app and device for their intended purpose.
10) Medical Disclaimer and Limitation of Liability
(1) niostem products and services are not intended to diagnose, treat, cure, or prevent disease and should not replace professional medical advice.
(2) Our liability is limited to intent and gross negligence. For breach of essential contractual obligations, we are liable for foreseeable damages typical of the contract. Liability for injury to life, body, or health remains unaffected.
(3) Mandatory provisions under the German Product Liability Act remain unaffected.
11) Data Protection and Privacy
Personal data is processed according to our Privacy Policy compliant with the EU General Data Protection Regulation (GDPR). By using our Services, you acknowledge that you have read and understood the Privacy Policy.
12) Governing Law and Jurisdiction
These Terms and all contractual relationships are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
If you are a consumer residing in the EU, you also enjoy the protection of mandatory laws in your country of residence.
Jurisdiction for all disputes shall be Cologne, Germany, if permitted by law.
